Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the services, products, and website provided by Neuvana AI ("Neuvana", "we", "us", or "our"), including VisionPulse, LaunchIQ, Elysium, and our Edge Intelligence Platform (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Services

Neuvana provides AI-powered edge intelligence solutions for physical spaces, including:

  • VisionPulse: Real-time retail intelligence — anonymous shopper analytics, traffic measurement, demographic insights, and engagement analysis.
  • LaunchIQ: New product introduction intelligence — AI-driven content personalisation, engagement measurement, and feedback loops for product innovation teams.
  • Elysium: Industrial waste classification — AI-powered visual guidance for sorting line operators in WEEE and recycling facilities.
  • Edge Intelligence Platform: The shared foundational technology powering all Neuvana products.

3. Service Agreements

Use of our commercial products (VisionPulse, LaunchIQ, Elysium) requires a separate Service Agreement that specifies scope, pricing, service levels, and deployment terms. These Terms supplement — but do not replace — any executed Service Agreement. In the event of conflict, the Service Agreement prevails.

4. User Accounts and Access

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorised use of your account.
  • You may not share account credentials or provide access to unauthorised third parties.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of applicable regulations
  • Attempt to reverse-engineer, decompile, or disassemble any Neuvana software or AI models
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorised access to any systems or networks connected to the Services
  • Use the Services to conduct surveillance, facial recognition, or individual identification
  • Resell, sublicense, or redistribute the Services without prior written consent

6. Intellectual Property

All intellectual property in the Services — including software, AI models, algorithms, designs, documentation, and trademarks — remains the exclusive property of Neuvana AI. These Terms do not grant you any ownership rights.

Your data: You retain ownership of any data you provide to us. Analytics and insights generated by our Services from anonymised, aggregated sensor data are delivered to you as part of the service but the underlying AI models and processing methods remain Neuvana's intellectual property.

7. Data Processing and Privacy

Our data processing practices are described in our Privacy Policy. Where our Services process data on your behalf, we will enter into a Data Processing Agreement (DPA) in compliance with GDPR Article 28.

You are responsible for ensuring that your use of our Services complies with applicable data protection laws in your jurisdiction, including providing any required notices or signage at deployment locations.

8. Service Levels and Availability

We target 99.5% system uptime for our commercial deployments. Specific service level commitments, including remedies for downtime, are defined in individual Service Agreements.

We may perform scheduled maintenance with reasonable notice. Emergency maintenance may be performed without prior notice when necessary to protect the integrity of the Services.

9. Deployment and Hardware

Neuvana products are deployed on-premises at your facilities. You are responsible for:

  • Providing adequate power, network connectivity, and physical mounting locations
  • Maintaining environmental conditions within specified operating parameters
  • Physical security of deployed hardware
  • Obtaining any required permissions or permits for sensor installation

10. Fees and Payment

Fees for our Services are defined in your Service Agreement. Our standard model includes a one-time installation and customisation fee plus a recurring monthly subscription. Payment terms, billing cycles, and applicable taxes are specified in the Service Agreement.

11. Warranties and Disclaimers

We warrant that our Services will perform materially in accordance with the applicable documentation and Service Agreement specifications.

EXCEPT AS EXPRESSLY SET FORTH IN A SERVICE AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-powered classification and analytics involve inherent probabilistic elements. We do not guarantee 100% accuracy of any AI-generated outputs.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUVANA'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL NEUVANA BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION.

13. Indemnification

You agree to indemnify and hold Neuvana harmless from any claims, damages, or expenses arising from your use of the Services in violation of these Terms or applicable law.

14. Term and Termination

  • These Terms remain in effect while you use our Services.
  • Either party may terminate a Service Agreement as specified therein.
  • We may suspend or terminate access immediately for material breach of these Terms.
  • Upon termination, all aggregated analytics data will be deleted within 30 days unless otherwise agreed.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Portugal and the European Union. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Guimarães, Portugal, unless otherwise agreed in a Service Agreement.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via email or through our website. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

17. General Provisions

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Entire agreement: These Terms, together with any Service Agreement and our Privacy Policy, constitute the entire agreement between you and Neuvana regarding the Services.
